Corporate governance principles of the company

The corporate governance rules followed by the Carrefour Group are broadly inspired by the seven fundamental values of the Group, which are: Freedom, Responsibility, Sharing, Respect, Integrity, Solidarity and Progress. Taking into account the interests and the expectations of the stakeholders through balanced and transparent governance rules is one of the commitments of the Group.

In July 2008, the Shareholders'Assembly approved the change in the Group’s management structure with the adoption of a board of Directors instead of a Supervisory Board and Management Board as well as the resulting change in company by laws.

The group’s Board of Directors,  now comprises twelve members, among which nine are independant members and one is a woman. The Board of Directors elected Amaury de Sèze as its Chairman.

Jose Luis Durán, appointed Chief Executive Officer by the board of Directors, has named an Executive Committee.The Executive Committee’s mission is to accelerate the group’s growth, implement its multi‐format strategy and enhance the power of the Carrefour brand. Each executive director’s priority will be to deploy action plans in his area to ensure that assigned objectives are met.
